Welcome to Keeper Designs. The terms “we,” “us,” and “our” refer to Keeper Designs. Keeper Designs operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Keeper Designs is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you access or use the Services.

Please read these Terms of Service carefully. They contain important information regarding your legal rights and obligations, including warranty disclaimers and limitations of liability.

By visiting, interacting with, purchasing from, or otherwise using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not access or use the Services.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or jurisdiction of residence, or that you are the age of majority and have given consent for any minor dependents under your supervision to use the Services.

To use certain features of the Services or make a purchase, you may be asked to provide information such as your email address, billing information, payment information, and shipping information. You represent and warrant that all information you provide is accurate, current, and complete and that you have the right to provide such information.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 — OUR PRODUCTS

We make reasonable efforts to accurately describe and display our products. However, product colors, proportions, appearance, and other visual characteristics may vary depending on your device, display settings, product size, selected color, orientation, application surface, lighting, and other factors.

Product photographs, digital mockups, lifestyle images, and application examples are provided for illustrative purposes and may not represent exact scale, color, placement, or appearance in every application.

For products where dimensions or sizing are provided, measurements are approximate unless expressly stated otherwise. Because individual products and designs may have different proportions, actual dimensions may vary according to the selected size, configuration, artwork, or product.

For vinyl decals, unless otherwise stated, decal dimensions refer to the approximate overall dimensions of the finished design. Because individual designs have different proportions, actual height and width will vary according to the selected size and artwork.

Keeper Designs decals are intended for application to suitable clean, dry, smooth, non-porous surfaces. Surface condition, preparation, age, finish, coatings, environmental exposure, installation technique, removal technique, and other factors outside our control may affect adhesion, durability, appearance, and removal.

Customers are responsible for determining whether a product is appropriate for their intended use, surface, environment, and application. When there is uncertainty about surface compatibility, we recommend testing in an inconspicuous area before installation or application.

We do not guarantee that every product will be appropriate for every surface, environment, purpose, or application.

All product descriptions, specifications, availability, colors, sizes, orientations, configurations, materials, and other options are subject to change without notice. We reserve the right to modify or discontinue products and to limit quantities offered to any person, geographic region, or jurisdiction.

SECTION 3 — ORDERS

When you place an order, you are making an offer to purchase products from Keeper Designs. We reserve the right to accept, reject, limit, or cancel an order when reasonably necessary, including because of product availability, pricing or listing errors, suspected fraud, payment problems, or other circumstances affecting our ability to fulfill the order.

An order is not considered accepted until payment has been successfully processed and the order has been accepted for fulfillment.

Please review your order carefully before submitting it, including the product, size, color, orientation, configuration, quantity, shipping address, and other selected options.

Because some Keeper Designs products may be produced, prepared, customized, or configured specifically in response to an order, we may be unable to accommodate changes or cancellation requests after production or fulfillment has begun.

Returns, refunds, and exchanges are governed by our Return and Refund Policy.

Unless otherwise expressly agreed by Keeper Designs, purchases made through the Services are intended for personal or household use and not for unauthorized commercial resale.

SECTION 4 — PRICES, PAYMENT AND BILLING

Prices, discounts, promotions, products, and availability are subject to change without notice.

The price charged will be the price displayed and applicable at the time the order is submitted, subject to correction of obvious pricing or listing errors. Unless otherwise expressly stated, displayed prices do not include applicable taxes, shipping, handling, customs, duties, or other charges.

Promotional offers may be subject to additional terms and conditions. If specific promotional terms conflict with these Terms regarding that promotion, the promotional terms will control.

You agree to provide accurate and complete billing, payment, shipping, and account information. You represent and warrant that you are authorized to use the payment method provided and agree to pay all charges associated with your purchase, including applicable taxes and shipping charges.

SECTION 5 — SHIPPING AND DELIVERY

Shipping and delivery dates are estimates and are not guaranteed.

Keeper Designs is not responsible for delays caused by shipping carriers, weather, natural disasters, governmental actions, incorrect or incomplete addresses supplied by customers, or other events outside our reasonable control.

Customers are responsible for providing a complete and accurate shipping address when placing an order.

Orders may be shipped using the carrier and service identified during checkout, in the order confirmation, or in the applicable Shipping Policy.

Tracking information, when available, is provided as a convenience and may be subject to carrier delays or inaccuracies.

To the extent permitted by applicable law, Keeper Designs is not responsible for carrier delays occurring after an order has been transferred to the shipping carrier.

SECTION 6 — PRODUCT APPLICATION, INSTALLATION AND USE

Customers are responsible for using, installing, applying, assembling, maintaining, and caring for Keeper Designs products in accordance with any instructions, warnings, or recommendations provided with the product. For products requiring surface application, including vinyl decals, customers are responsible for properly preparing the application surface and following the provided application instructions.

Decals should generally be applied to clean, dry, cool, smooth, non-porous surfaces and, when possible, out of direct sunlight.

Actual product lifespan and performance depend on numerous factors, including the nature and condition of the product or application surface, preparation, installation, assembly, application, climate, temperature, UV exposure, weather, washing methods, chemical exposure, physical abrasion, maintenance, storage, and care.

Keeper Designs does not guarantee a specific lifespan or level of performance for every product, application, environment, or use unless such a warranty is expressly provided with the applicable product.

Customers are responsible for determining whether a Keeper Designs product is suitable for their intended use and environment and for following any product-specific instructions, warnings, limitations, or recommendations.

To the fullest extent permitted by applicable law, Keeper Designs is not responsible for damage resulting from improper installation, application, assembly, use, maintenance, storage, modification, or removal; unsuitable or deteriorated surfaces; pre-existing defects or conditions; aftermarket paint or coatings; improper cleaning products or methods; customer alterations; misuse; or uses inconsistent with the product’s intended purpose or supplied instructions.

Nothing in this section limits any rights or remedies that cannot legally be limited or excluded.

SECTION 7 — INTELLECTUAL PROPERTY

The Services and their content, including Keeper Designs artwork, Detailed Silhouette designs, illustrations, graphics, photographs, logos, branding, text, product designs, videos, and other creative materials, are owned by Keeper Designs or used under appropriate authorization and are protected by applicable copyright, trademark, and other intellectual property laws.

Purchasing a Keeper Designs product does not transfer ownership of, or intellectual property rights in, the underlying artwork, design, product design, graphics, or other intellectual property.

Unless expressly authorized in writing by Keeper Designs, you may not reproduce, copy, trace, scan, digitize, vectorize, modify, distribute, publish, sell, license, create derivative works from, reverse engineer where prohibited by applicable law, or commercially exploit Keeper Designs artwork, product designs, photographs, graphics, or other protected materials.

You may not use Keeper Designs artwork or designs to manufacture or cause another party to manufacture decals, apparel, merchandise, digital products, printed products, physical products, or other goods without prior written authorization.

Keeper Designs names, logos, product names, designs, and slogans may constitute trademarks or other proprietary identifiers of Keeper Designs and may not be used without permission where such permission is required by law.

All rights not expressly granted are reserved.

SECTION 8 — OPTIONAL TOOLS

We may provide access to tools or services offered by third parties that we do not control.

Such tools are provided on an “as is” and “as available” basis to the extent permitted by applicable law. Your use of third-party tools is at your discretion and may also be governed by the applicable third party’s terms and policies.

We may introduce additional features, tools, or resources in the future. Unless otherwise stated, those features form part of the Services and are subject to these Terms.

SECTION 9 — THIRD-PARTY LINKS

The Services may contain links to websites, services, or content provided by third parties.

Keeper Designs does not control and is not responsible for the content, accuracy, availability, practices, products, or services of third-party websites.

If you access a third-party website or service, you do so subject to that third party’s terms and policies. Questions or disputes concerning third-party products or services should generally be directed to the applicable third party.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

Keeper Designs is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases made through the Keeper Designs store are transactions directly between you and Keeper Designs.

By using the Services, you acknowledge that Shopify is not the seller of Keeper Designs products and, to the extent permitted by applicable law, is not responsible for claims, damages, or liabilities arising from products purchased directly from Keeper Designs.

SECTION 11 — PRIVACY

Personal information collected through the Services is handled in accordance with the Keeper Designs Privacy Policy and applicable law.

Because the Services are powered by Shopify, Shopify and other service providers may collect and process information as necessary to provide, secure, maintain, and improve the Services.

Please review the Privacy Policy available through the Keeper Designs website for additional information regarding the collection, use, disclosure, and handling of personal information.

SECTION 12 — FEEDBACK, REVIEWS AND SUBMISSIONS

If you voluntarily submit reviews, photographs, comments, ideas, suggestions, feedback, or other content (“Feedback”), you represent that you have the necessary rights to submit that material and that your submission does not violate applicable law or the rights of another person.

To the extent permitted by law, you grant Keeper Designs a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, distribute, and adapt Feedback you voluntarily submit for purposes related to operating, improving, and promoting Keeper Designs and its products.

You may not submit unlawful, defamatory, infringing, fraudulent, malicious, obscene, or misleading content or material containing harmful computer code.

SECTION 13 — ERRORS, INACCURACIES AND OMISSIONS

Information appearing through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, availability, pricing, promotions, shipping charges, transit times, specifications, or other information.

We reserve the right to correct errors or inaccuracies and to update information at any time.

If an error materially affects an order already submitted, we may contact you regarding correction or cancellation and will provide any refund required by applicable law.

SECTION 14 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to violate applicable laws or regulations; infringe intellectual property or other legal rights; transmit malicious code; engage in fraud or impersonation; collect personal information unlawfully; interfere with the security or operation of the Services; or engage in conduct designed to harm Keeper Designs, Shopify, our customers, or other users.

You may not reproduce, scrape, extract, copy, or commercially exploit Keeper Designs content, product artwork, designs, or other intellectual property in violation of our intellectual property rights or applicable law.

We reserve the right to restrict or terminate access to the Services where reasonably necessary in response to violations of these Terms.

SECTION 15 — AGENTS AND AUTOMATED ACCESS

Automated systems, agents, bots, crawlers, and similar technologies may access the Services only in accordance with applicable law, these Terms, published technical instructions, and any access restrictions implemented by Keeper Designs, Shopify, or our service providers.

Such systems may not circumvent access restrictions, security measures, CAPTCHAs, robots directives, rate limits, or other technical controls designed to regulate automated access.

We reserve the right to limit or block automated access where reasonably necessary to protect the Services, our intellectual property, our customers, or our systems.

SECTION 16 — TERMINATION

We may suspend or terminate access to the Services when reasonably necessary, including for violation of these Terms, suspected fraudulent or unlawful activity, misuse of the Services, or threats to the security or operation of the Services.

Termination does not affect rights or obligations that accrued before termination.

Provisions that by their nature should survive termination—including intellectual property, warranty disclaimers, limitations of liability, indemnification, governing law, and other applicable provisions—will continue to apply.

SECTION 17 — DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR WARRANTIES OR RIGHTS THAT CANNOT LEGALLY BE DISCLAIMED.

KEEPER DESIGNS DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

EXCEPT AS EXPRESSLY PROVIDED BY KEEPER DESIGNS OR REQUIRED BY APPLICABLE LAW, WE DISCLAIM IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SOME STATES OR JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

SECTION 18 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KEEPER DESIGNS AND ITS OWNERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR SIMILAR LOSSES.

TO THE FULLEST EXTENT PERMITTED BY LAW, KEEPER DESIGNS WILL NOT BE LIABLE FOR DAMAGE CAUSED BY IMPROPER PRODUCT INSTALLATION, APPLICATION, ASSEMBLY, USE, MAINTENANCE, STORAGE, MODIFICATION, OR REMOVAL; UNSUITABLE APPLICATION SURFACES OR ENVIRONMENTS; PRE-EXISTING CONDITIONS; CUSTOMER MODIFICATION OR MISUSE OF PRODUCTS; OR FAILURE TO FOLLOW PROVIDED INSTRUCTIONS, WARNINGS, OR CARE RECOMMENDATIONS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

SECTION 19 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Keeper Designs and its owners, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, losses, and reasonable costs arising from your unlawful use of the Services, material breach of these Terms, infringement of another party’s rights, or misuse of Keeper Designs products or intellectual property.

SECTION 20 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary, and the remaining provisions will continue in effect.

SECTION 21 — WAIVER AND ENTIRE AGREEMENT

Failure by Keeper Designs to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with policies and other terms expressly incorporated by reference, constitute the agreement governing your use of the Services, subject to rights that cannot be waived under applicable law.

SECTION 22 — ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without prior written consent where such consent may lawfully be required.

Keeper Designs may assign its rights and obligations in connection with a merger, acquisition, sale, reorganization, transfer of the business, or as otherwise permitted by applicable law.

SECTION 23 — GOVERNING LAW

These Terms and any dispute arising from or relating to the Services will be governed by the laws applicable in the State of California, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

To the extent legally permitted, disputes relating to these Terms or the Services will be brought in a court of competent jurisdiction located in San Diego County, California.

Nothing in this section deprives a consumer of rights or protections that cannot legally be waived.

SECTION 24 — CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our Services, products, business practices, legal requirements, or other circumstances.

The most current version will be available through the Keeper Designs website. When required by applicable law, we will provide notice of material changes.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
